Nordic Halibut is acquiring a cleaner fish operation and associated property from the Måsøval family’s investment company Heimstø in a NOK 24 million (€2.23 million) share-based transaction.
The company has entered into agreements to acquire 100% of the shares in Thule Marine and Gulbygget, according to a stock exchange filing on Thursday.
Thule Marine owns 100% of Tjeldbergodden Rensefisk, a former cleaner fish producer established to supply lumpfish and wrasse to Norway’s salmon farming industry for sea lice control. Gulbygget owns the property and operational facilities leased to the company.
The purchase price will be settled through the issuance of one million new Nordic Halibut shares at NOK 24 per share. Completion is expected on 1 June, or as soon as practicable thereafter.
Nordic Halibut has used the Tjeldbergodden facility since 2024 as part of its halibut production operations. The acquisition gives the company full ownership of both the operating company and the associated infrastructure.
The transaction comes as demand for cleaner fish has declined sharply in Norway’s salmon farming sector, with producers increasingly turning to mechanical, thermal and biological alternatives to sea lice treatment. Several cleaner fish producers have exited the market or repurposed facilities in recent years.
