Hofseth International: tops 20% stake in Hofseth BioCare after private placement

Hofseth International has increased its holding in Hofseth BioCare above 20% following the company’s NOK 144.5 million (€12.7 million) private placement.

The investment vehicle received 30.4 million new shares at NOK 1.30 each. Subject to shareholder approval of the second tranche, it will own 106.0 million ordinary shares and 16 million non-voting Class B preference shares, representing 20.30% of the company’s share capital and 17.78% of the voting rights.

The share issue triggered several disclosure notifications under Norwegian securities rules.

Scatterty Holdings Ltd., a new shareholder, subscribed for 38.4 million shares and now holds 7.36% of the share capital and 7.60% of the voting rights.

Roger Hofseth, through Hofseth International, RH Industri AS and associated parties, controls 175.5 million shares, equal to 33.60% of the share capital and 31.50% of the voting rights.

Meanwhile, RH Industri’s holding fell below the 15% disclosure threshold to 13.27% of the share capital, while Yokorei Co. Ltd.’s voting interest dropped below 10%, leaving it with 40.95 million shares, or 8.09% of the voting rights.

The share issue to Hofseth International remains subject to approval at an extraordinary general meeting expected around 30 July. The company said it has secured sufficient voting commitments to approve the transaction.
